PRINCIPAL PAYMENTS

Principal will be repaid at maturity on July 18, 2008

INTEREST PAYMENTS

The first interest payment will become due and payable after three (3) months on October 18, 2005.  Thereafter, interest will become payable quarterly on, January 18, April 18, July 18 and October 18, until maturity on July 18, 2008.

The final interest payment will cover the period April 18, 2008 to July 18, 2008, and will be paid on July 18, 2008.

PRUDENTIAL

Will not qualify as a liquid asset.

BUSINESS DAY

In the event that a payment day occurs on a day other than a business day, such payments will be made on the business day preceding that date.
